Vendor Terms & Conditions – RabtaDigital.Online These Vendor Terms & Conditions (“Agreement”) govern the relationship between RabtaDigital.Online (“Company”) and vendors (“Vendor”) who provide products, services, or integrations via our platform. By entering into this Agreement, the Vendor agrees to comply with the terms outlined below. 1. Vendor Eligibility Vendors must be legally registered and authorized to provide their services or products. Vendors must provide accurate and up-to-date business information. Vendors must comply with all local laws and regulations applicable to their services. 2. Vendor Responsibilities Vendors agree to: Deliver products/services as described and agreed with the Company. Ensure quality, legality, and safety of products/services. Respond promptly to Company queries or requests for support. Maintain confidentiality of sensitive Company or customer data. 3. Service Standards Vendors must adhere to high professional standards and industry best practices. Any service or product issues must be addressed promptly. Failure to meet standards may result in suspension or termination of the Vendor relationship. 4. Pricing and Payments Pricing must be clearly communicated and agreed upon in advance. Payments to vendors will be processed according to the terms specified in separate agreements. RabtaDigital.Online reserves the right to withhold payment in case of breach of terms or non-compliance. 5. Intellectual Property Vendors retain ownership of their original IP unless otherwise agreed. Vendors grant RabtaDigital.Online a limited license to use their IP for promoting or delivering the services/products. Vendors may not infringe upon third-party IP while using our platform. 6. Confidentiality Vendors must protect any confidential information shared by RabtaDigital.Online or its clients. Confidential information must not be disclosed to any third party without prior written consent. 7. Compliance with Policies Vendors must comply with all applicable Company policies, including anti-spam, content, and data security policies. Vendors must also comply with Meta platform policies if their services involve WhatsApp Business API or Meta integrations. 8. Liability Vendors are responsible for any loss, damage, or claim resulting from their products/services. RabtaDigital.Online is not liable for vendor-related losses, disputes, or customer claims. 9. Termination RabtaDigital.Online may terminate the Vendor relationship at any time for breach of terms, illegal activity, or poor performance. Vendors may terminate the agreement with written notice, subject to pending obligations being fulfilled. 10. Dispute Resolution Vendors and RabtaDigital.Online will attempt to resolve disputes amicably. Any unresolved disputes will be governed by the laws of Pakistan and resolved in local courts. 11. Amendments RabtaDigital.Online reserves the right to update these terms at any time. Continued engagement as a vendor constitutes acceptance of updated terms. 12.
